These Terms and Conditions ("Terms") govern your participation in the SOGNI Token Airdrop ("Airdrop") organized by Sogni.ai ("Sogni," "the Company," "we," or "us"). By participating, you agree to be bound by these Terms.

2. Eligibility

To be eligible to participate in the Airdrop:

- You must be at least 18 years of age or the legal age in your jurisdiction.
- You must be a registered user of the Sogni platform.
- You must comply with all applicable laws and regulations in your jurisdiction, including any restrictions on receiving tokens or airdrops.
- Participants from jurisdictions where receiving tokens is prohibited, or where additional regulatory requirements are applicable, are not eligible for this Airdrop. This includes, but is not limited to, jurisdictions such as the United States (if tokens are deemed securities) and China.
- Accounts found engaging in fraudulent activities, such as botting, fake referrals, or spammy farming tactics, will be disqualified from the Airdrop and those wallets will be ineligible. See Section 11 ("Prohibited Conduct") for details.
- The Sogni user account must have completed at least one (1) image render on the platform as an Artist or Worker node.

3. Airdrop Overview

The Airdrop will distribute 8,000,000 SOGNI tokens as part of the Sogni Season 9 competition. This period covers June 1, 2026 to July 12, 2026 (UTC midnight to UTC midnight), at which point the leaderboard snapshot will take place. Airdrop claims will be available upon login to your account at app.sogni.ai approximately two weeks after the snapshot.

Artists, Workers, Ambassadors, and Token Stakers will be ranked on the Sogni Leaderboard based on their activity with the Sogni Supernet.

The Season 9 airdrop is distributed across the following active leaderboards and pools:

- 40% — Stakers Leaderboard (all participants) [same as Season 8]
- 25% — Ambassadors Leaderboard (all participants) [same as Season 8]
- 20% — Top 200 Artists Leaderboard [same as Season 8]
- 15% — Worker Subscription Revenue Share Pool [new; replaces Season 8 Fast Worker and Relaxed Worker leaderboard rewards]

The Fast Worker and Relaxed Worker leaderboards have been replaced for Season 9 by the Worker Subscription Revenue Share Pool.

The Worker Subscription Revenue Share Pool tracks how many Unlimited Plans subscription-based jobs were completed by each worker, measured in render seconds as Spark-equivalent pool points during the season. Fast Worker GPUs appear separately by NFT Token ID. Mac Worker entries are aggregated by Sogni account address. At the end of the season, workers are paid their actual settled share of the credit card subscription revenue pool relative to their share of completed pool points. The new Unlimited Plans subscriptions are not live on Day 1 of Season 9 but will launch shortly with an accompanying marketing campaign and update to this document. As a new program incentive, the 1,200,000 SOGNI tokens normally allocated to Fast and Relaxed Worker leaderboard rewards this season will be added to the Worker Subscription Revenue Share Pool allocation.

4. Airdrop Claiming

For Season 9, airdrop claiming will work the same way as prior leaderboard seasons. Rewards will not have escrow, vesting, cliff, or early-claim burn mechanics.

Eligible participants will be able to claim through the standard SOGNI airdrop flow after claims open, approximately two (2) weeks after the leaderboard snapshot via app.sogni.ai.

5. Ranking Calculation

Artists: Artists earn rank based on the amount of SOGNI tokens and Spark Points spent, earned, or staked on the platform. Points are awarded as follows:

- 1 leaderboard point per Free Spark used.
- 10 leaderboard points per Premium Spark used.
- 10 leaderboard points per SOGNI used (after conversion to Spark at market rate; see https://docs.sogni.ai/supernet/sogni-token-vs-spark-points).

Artists who pay with Premium Spark or SOGNI tokens have the most significant opportunities to climb the leaderboard.

Worker Subscription Revenue Share Pool: Worker ranking for Season 9 is based on Unlimited Plans subscription-based jobs completed by eligible workers during the season. Pool points are measured in render seconds as Spark-equivalent units.

Fast Worker GPUs running the Sogni Docker Worker software on Windows or Linux appear as separate entries by NFT Token ID. Mac Workers running Sogni Studio Pro in worker mode appear as aggregate entries grouped by Sogni account address.

When Unlimited Subscription Plans roll out this season, all Fast Worker GPUs and Relaxed Workers (Mac Workers) will be automatically enrolled in the Worker Subscription Revenue Share Pool. Unlimited Subscription Plan Sogni Supernet jobs will be prioritized below paid Premium Spark and SOGNI jobs, which will continue to settle in real time under a separate payment model from the Unlimited Subscription Plan model. Unlimited Subscription Plan network traffic is designed to use otherwise unused network inference capacity and give the network and its workers an additional channel for job traffic.

The prior Fast Worker and Relaxed Worker seasonal leaderboard point rules do not apply to the Worker Subscription Revenue Share Pool. Pay-as-you-go, Spark Pack, Free Spark, Premium Spark, and SOGNI-paid worker jobs continue to operate normally, but Worker Subscription Revenue Share Pool ranking is based on Unlimited Plans subscription jobs unless this document is updated.

One Sogni account can be used for both Fast Worker GPUs and Mac Workers. It is recommended to keep all your Sogni worker nodes under one account. Using multiple Sogni accounts may be disqualifying if created in "bad faith."

Stakers: SOGNI tokens may be staked at https://dashboard.sogni.ai/ to earn Staking Power points for the Staking Leaderboard. Instructions on how the staking system works can be found at https://docs.sogni.ai/rewards/staking-sogni.

Ambassadors: The Ambassadors Leaderboard rewards users who grow the Sogni community through referrals and platform purchases. New users receive an additional 25 Spark (after email verification) when signing up with another user's referral code. Referrers also earn bonus Spark for referred user signups but only after a referred user's first in-app payment to deter account farming. Referrers also earn Ambassador Points. Every Sogni user is considered an Ambassador, so all users can participate. There is no limit to the number of referrals or leaderboard ranks on this leaderboard. Points are earned as follows:

- 1 Ambassador Point for every Spark purchase made by users who signed up with your referral code.
- 1 Ambassador Point for every Spark purchased by the Ambassador themselves.
- 0.2 Ambassador Points for every Spark purchased by a user who signed up with a referral code from someone you referred.
- Points are earned for any credit card purchase on any Sogni platform application, including app.sogni.ai, Sogni native Mac and iPhone apps, photobooth.sogni.ai, 360.sogni.ai, restore.sogni.ai, and others.
- Sogni for Android will be released this season, and purchases there will count.
- Sogni unlimited subscription plans will be released this season. Monthly recurring subscription renewals will credit the user and referrers during each renewal.

If you make a referral or a platform purchase, you will receive an airdrop from this leaderboard. At the end of the season, each Ambassador earns a percentage of the 30% allocation dedicated to this airdrop pool based on their contribution. For example, if one Ambassador generates 50% of the season's referred purchases, they would receive 50% of the allocation.

Credit card disputes or chargebacks will result in the removal of Ambassador Points for related activity. Attempts to unfairly game or operate in bad faith within this program may result in removal from the program and suspension of the account.

6. Leaderboard Reward Distribution

Participants on each leaderboard or pool will share in the prize pool allocated for that leaderboard or pool. Worker Subscription Revenue Share Pool distributions are calculated from each eligible worker entry's share of completed Unlimited Plans subscription pool points, with Fast Worker GPUs tracked by NFT Token ID and Mac Worker entries aggregated by Sogni account address. Staking leaderboard rewards are based on each user's percentage share of Staking Power relative to the aggregate Staking Power generated by the pool.

Spark Point Calculation: Artist leaderboard points are calculated in Spark Points at the time of the inference job request (applied at job completion), regardless of whether Spark or SOGNI is used as the payment method. This allows Artist leaderboard points to use a fixed unit of credit pegged to GPU time.

A Spark Point is pegged to the GPU time needed to complete one (1) standard high-quality render (a standard 20-step SDXL render). The value of this GPU time is pegged to $0.005 USD, meaning the value of 1 Spark Point is always $0.005 USD in compute. When Artist jobs are completed with SOGNI as the payment method, the number of Spark Points credited on the Artist leaderboard is determined by the VWAP (Volume Weighted Average Price) of SOGNI divided by $0.005 (the value of 1 Spark Point). For example, if the live market value of SOGNI is $0.10, then 1 SOGNI equals $0.10 / $0.005 = 20 Spark Points.

Worker Subscription Revenue Share Pool points are measured separately from Artist leaderboard points. They represent Unlimited Plans subscription-based worker jobs completed during the season, measured in render seconds as Spark-equivalent pool points.

Airdrop Checker: A seasonal airdrop checker for reviewing finalized ranks and token rewards will be published to our Discord Announcements page shortly before the claim period begins. Note that any claims not completed within 90 days of the claim period opening are forfeit and will be allocated back to the treasury.

7. Distribution of Airdrop Tokens

The distribution of SOGNI tokens will be based on participants' rankings on the leaderboard and will be made available typically two (2) weeks after the end-of-competition snapshot via app.sogni.ai.

The Company reserves the right to modify the distribution algorithm or ranking criteria at any time prior to the Airdrop without notice.

8. Token Details

The SOGNI tokens distributed in the Airdrop are utility tokens intended for use within the Sogni platform. These tokens are designed to facilitate activities and transactions within the Sogni ecosystem, including accessing features, completing renders, and using platform-specific services.

These tokens are not intended as an investment and do not represent ownership, voting rights, or any entitlement to future profits. The SOGNI token has a maximum supply of 10,000,000,000 tokens.

9. Conditions for Receiving Tokens

Participants must have a valid wallet compatible with Base and/or Etherlink (collectively, "supported networks"), both Ethereum Layer 2 networks. A supported wallet is automatically created for you at no cost when you create a Sogni Supernet account.
The Airdrop will be conducted on one or both supported networks. Participants are responsible for any gas fees associated with claiming their tokens. Participants must also ensure compliance with the laws of their jurisdiction regarding receipt, ownership, and holding of tokens, including AML/KYC obligations where applicable.

The Company reserves the right to delay or cancel the Airdrop if unforeseen technical, regulatory, or legal issues arise.

10. Compliance and Taxation

Participants must comply with all applicable local laws and regulations related to their receipt of tokens, including any restrictions on token ownership or receipt.

It is the participant's responsibility to determine their tax obligations (if any) related to the Airdrop. The Company makes no representations regarding the tax consequences of receiving or holding SOGNI tokens.

11. Prohibited Conduct

Any attempt to manipulate, cheat, or otherwise artificially inflate rankings on the Leaderboard will result in immediate disqualification from the Airdrop and potential account termination.

This includes, but is not limited to, the following prohibited practices:

- Use of disposable email addresses that are flagged or associated with inactive or untrustworthy domains.
- Creation of multiple "throwaway" Sogni accounts to farm and pool free Sogni rewards (including Monthly Boost) to a single account, or attempting to exclusively leverage your own Workers. This is considered "bad faith" use of the platform, as it is not useful to the network or community, and will result in a seasonal or permanent ban depending on the circumstances.
- Attempts to game the leaderboards by generating multiple leaderboard rankings against the same Worker hardware through the creation of multiple Sogni accounts or other technical means. Each Sogni account should be a primary and permanent account. One-time consolidation of multiple Worker accounts into a single Sogni account is permitted.
- Use of unauthorized automation tools, scripts, or SDK abuse, or any form of automation or "bad faith" attempts to exploit the platform.
- Attempts to modify or manipulate the Worker client may result in a permanent ban without warning.
- Repeat offenders abusing NFT Prospect Workers may have their NFTs and any obviously connected accounts banned without warning.

Participants engaging in acceptable use (e.g., running a reasonable number of legitimate accounts, consistent daily engagement, and maintaining fair participation) will not be penalized. Any attempt to exploit the system through deceptive means will lead to disqualification.

Note: "White hat" security auditing and penetration testing of the Sogni platform is welcome but must be coordinated with the Company in advance. Uncoordinated testing will be treated as unauthorized access and responded to accordingly.

The Company reserves the right to disqualify any participant at its sole discretion for any conduct deemed to violate these Terms or the spirit of fair competition.

12. Season-Specific Rules

All rules and policies from prior seasons remain in effect unless explicitly stated otherwise. As of Season 5, the use of Worker targeting features (https://docs.sogni.ai/supernet/supernet-worker-targeting) no longer awards Artist leaderboard points or Worker Subscription Revenue Share Pool points. This change remains in effect for Season 9 and subsequent seasons.

13. Changes to Terms

The Company reserves the right to modify, suspend, or terminate the Airdrop or these Terms at any time, without prior notice. Any changes to these Terms will be posted on the Company's official website. Continued participation in the Airdrop constitutes acceptance of any revised Terms.

14. Limitation of Liability

The Company shall not be liable for any damages or losses, whether direct, indirect, incidental, or consequential, arising from your participation in the Airdrop, the use of SOGNI tokens, or any delay or failure in the distribution of tokens.

The Company does not make any representations or warranties about the future value, tradability, or utility of SOGNI tokens, and participation in the Airdrop should not be considered an investment.

Participants acknowledge that the SOGNI token may not have liquidity or functionality outside the Sogni platform, and its value is subject to market fluctuations and regulatory factors.

15. Governing Law

These Terms and any disputes arising from participation in the SOGNI Airdrop shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.

In the event of any dispute, controversy, or claim arising out of or in connection with these Terms or the Airdrop, the parties shall first attempt to resolve the matter through good faith mediation under the auspices of the Singapore Mediation Centre (SMC).

If the dispute cannot be resolved through mediation within thirty (30) days, it shall be referred to and finally settled by arbitration in Singapore in accordance with the rules of the Singapore International Arbitration Centre (SIAC). The tribunal shall consist of one (1) arbitrator, and the language of arbitration shall be English. The seat of arbitration shall be Singapore.
